Article I

The name of this organization shall be :General Federation of Womens Clubs - Gun Lake Area. (G.F.W.C. - Gun Lake Area)

Article II

The object of the club is: To keep abreast of the times and to become better informed and involved in the general interests of the area.

Article III

Section 1

a. General Membership is open to any woman in the Gun Lake and Surrounding areas interested in the objectives of the club (Article II)

b. Associate Membership is an option to any woman who is 75 years or older and is interested in the objectives of the club (Article II)

Associate members will not be obligated to participate in all club activities, but will retain full membership with right to vote. (Article II)

Section 2

a. General Membership dues to be Twenty Dollars ($20.00) to be paid by the October meeting each year to the Treasurer.

b. Associate Membership dues to be Thirty Dollars ($30.00) to be paid by the October meeting each year to the Treasurer.

c. The additional dues shall be included in the annual budget to cover general operating expenses.

Section 3

Any member whose dues are unpaid by the October meeting shall l be contacted by the recording secretary and asked if she wishes to continue her membership in the club.

Section 4

Resignations from the club membership shall be in writing and given to the recording secretary.

Section 5

Re-instatement of membership shall be by paying dues and attending meetings.

Article IV - Officers

Section 1

The officers which shall be required are: President, Vice-President, Recording

Secretary, Corresponding Secretary, and Treasurer.

 

Section 2

The Executive Board shall include the elected officers, Immediate Past President, Historian, Membership Chairman and any other Chairman deemed necessary.

Section 3

The nominating committee shall present a slate of officers in March. These shall be voted on in April by a secret paper ballot and officers shall be installed in May.

Section 4

Officers shall hold office for two (2) years. The current Vice-President shall become the new President.

Article V -Duties

Section 1

President: The President shall preside over all meetings and shall perform such other duties as pertain to her office. She shall appoint all committees including Nominations Committee. She shall call special meetings and Executive Board meetings as found necessary.

Section 2

Vice President: The Vice President, in the absence of the President, shall fill her office and perform her duties. She will be prepared to take the office of President. She will serve as chairman of the Program Committee.

Section 3

Recording Secretary: The secretary shall take the minutes of the regular meetings and perform such duties as pertain to her office. She shall maintain roll call records and the official copy of the By-Laws and any revisions.

Section 4

Corresponding Secretary will be responsible for correspondence of the GFWC-Gun Lake Area and any other written communication designated by the President.

Section 5

Treasurer: The Treasurer shall collect dues, hold all funds, pay all bills and report at the regular meetings. She shall have the books reviewed annually.

Section 6

Historian: The Historian shall keep a complete history of the club. She shall keep all current articles, etc, pertaining to the club and shall put such items on display for the club membership to view at least once during the club year.

Article VI-Meetings

Section 1

Meetings shall be held the second Wednesday of each month from September through August. October meeting to be designated as the annual meeting. The time shall be 9:30 am.

Article VII

Section 1

The following committee chairs shall be appointed by the President

A. Calling Committee

B. Girlstown Committee

C. Membership Committee

D. Nominations Committee

E. Public Relations and Communications Committee

F. Scholarship Committee

G. Sunshine Committee

Section 2

Also any other committees may be appointed by the president as shall be necessary to carry on the work of the club.

Article VIII-Parliamentary Authority

The rules contained in Roberts Rules of Order Newly Revised shall govern the club.

Article IX

Amendment to the Bylaws

The bylaws shall be revised by previous notice and two-thirds (2/3) vote of those present.

ARTICLE I - Official Name of Club

The name of this organization shall be :General Federation of Women’s Clubs-Gun Lake Area, Inc. (G.F.W.C. - Gun Lake Area) (GFWC-Gun Lake Area, Inc.)

           

ARTICLE II - Mission Statement

The object of the club is: To keep abreast of the times and to become better informed and involved in the general interests of  the area The mission statement of the organization shall be to promote the interests of GFWC International, GFWC Michigan GFWC-Gun Lake Area, Inc. , and the surrounding area through community service and development, life-long learning and fellowship.

 

ARTICLE III - Membership

Section 1

a. General Membership is open to any woman person in the Gun Lake and Surrounding areas  interested in the objectives mission statement of the club (Article II).

ARTICLE IV - Officers

Section 1

The elected officers which shall be required  of GFWC-Gun Lake Area, Inc. are: President, Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer. These officers shall serve as Corporation Officers as required by the articles of incorporation.

(5 members)

Section 2

The Executive Board members shall include the elected officers,Immediate Past President  and Department Chairpersons. Historian, Membership Chairman and any other Chairman deemed necessary . In the absence of the Department Chairperson, an alternate can be named

( total current board=5 elected officers+1 Past Pres + 6 department chairs=12 members)

Section 3

The nominating committee shall present a slate of officers in March of an election year.  These shall be voted on in April by a secret paper ballot and officers shall be installed in May. In the event the slate of officers is uncontested, the chair can entertain a motion from the floor for the paper ballot to be waived. The vote shall be done by show of hands, 2/3 approval of members present.

Section 4

Officers’ tenure is for  shall hold office for two (2) years beginning July 1st of the election year and running through June 30th of the second year.  The current Vice-President shall become the new  President.

Section 5

In the case of an Executive Board Member’s failure to perform the duties of the office, the Executive Board shall have the power to declare the position vacant. The president shall appoint a replacement.

Section 1        President:

            4. The President shall appoint an Assistant Treasurer and Assistant Recording Secretary.

Section 2        Vice President:

1.      The Vice President, in the absence of the President, shall fill her the office and perform her the duties.

2.      She The Vice President will be required prepared to take the office of President.

3.      She  The Vice President will serve as chairman Chair of the Program Committee which

      includes the Vice President and the Department Chairs.

Section 3        Recording Secretary:      

1.      The Secretary shall take the minutes of the general meetings, board meetings and executive board regular meetings and perform such duties as pertain to theher office.

2.      She The Secretary shall maintain roll call records and the official copy of the By-Laws and any revisions.

3.      The Secretary will maintain 2 notebooks of the minutes of the general meetings, board meetings and executive board meetings:

a.      Articles of Incorporation Notebook: shall prepare minutes and have custody of all records and documents as required by the Articles of Incorporation

b.      Archive Notebook: shall  prepare and have custody of the minutes and all relevant documentation which includes: treasurer’s report, roll call and master membership list         

Section 4         Corresponding Secretary will be responsible for correspondence of the GFWC-Gun Lake  Area, Inc. and any other written communication designated by the President.

 

Section 5        Assistant Secretary shall assist the Recording Secretary as needed.

 

Section 6        Treasurer:

The Treasurer shall collect dues, hold all funds, pay all bills and report at the regular meetings.

She shall have the books reviewed annually.

 

The Treasurer shall:

1.      have care and custody of all monies belonging to GFWC Gun Lake Area,Inc., except the Sunshine Fund.

2.      chair and appoint the budget committee.

3.      develop a carefully considered budget as a financial guide for the year to be presented to the executive board and voted on by the general membership.

4.      provide written account of the finances of the organization as specified in the standing rules.

5.       Draftpresent bills to the Executive Board for payment according to the procedure specified in the standing rules. Documented and authorized bills will be paid by check

6.      provide the treasurer’s books for review by the Executive Board on an annual basis by January 31. This shall include:

a.                  proof of all monies on hand       

b.                  proof of account allocations of all funds           

7.      contact any members who have not paid dues by November 1st as stated in Article III-Membership

Section 7        Assistant Treasurer

The Assistant Treasurer is appointed by the president and shall assist the treasuer as needed.

 

Section 8        Historian:

The Historian shall keep a complete history of the club. She shall keep including all current articles, etc, pertaining to the club and shall put such items on display for the club membership to view at least once during the club year.

 

ARTICLE VI- Meetings

Section 1

Meetings shall be held the second Wednesday of each month from September through August. October meeting to be designated as the annual meeting. The time shall be 9:30 am.

General and board meetings will be held at the discretion of the Executive Bboard

 

Section 2

General membership meetings shall meet a quorum of ¼ of all members possible to transact business

 

Section 3

Executive Board meetings shall meet a quorum of ¼ of all Executive board members  to transact business

 

 

ARTICLE VII – Committees and Departments

Section 1

The following Committee chairs shall be appointed by the President as needed.

            A. Calling Committee

            B. Girlstown Committee

            C. Membership Committee

            D. Nominations Committee

            E. Public Relations and

                Communications Committee

            F. Scholarship Committee

            G. Sunshine Committee

Section 2

Also Any other committees may be

appointed by the president as shall be necessary to carry on the work of the club.

Committee members will be recruited by the committee chairperson. Updated roster will be maintained and made available upon request.

 

Section 3. Department Chairpersons

The Department Chair is defined by the GFWC Mi State Bylaws ( Article XIII Section 2) Department Chair is responsible for communication  between the board and the assigned committees. The Department Chair is the voting representative of the group of committees assigned to that department. Each Department Chairperson will report  to the general membership monthly meeting at the call of the President.

(This currently states: Arts, Conservation, Education, Home Life, International Affairs and Public Affairs=6)_

 

Section 4

Resignation from chairpersonship or department chair should be in writing to the President.

 

ARTICLE VIII - Parliamentary Authority

 Draft The rules contained in current edition of Robert’s Rules of Order Newly Revised shall govern the club.                

 

ARTICLE IX – Interpretation of the Bylaws

In the event of any ambiguity or dispute in the interpretation of these Bylaws, such ambiguity or dispute shall be resolved by majority vote of the Executive Board.

 

ARTICLE X - Amendment to the Bylaws

The bylaws shall be revised amended by previous notice and two-thirds (2/3) vote of those             present.

 

ARTICLE XI

The fiscal year of the organization shall be from January 1 to December 31,

 ARTICLE XII - Indemnification

The organization shall indemnify any of its agents, committee chair persons, department chairpersons, officers, or those who previously served in any of those positions, in connection with any actual or threatened action, suit, claim or proceeding in which any of them are or may be made a part by reason of having been a director, officer, employee, committee person or agent of the Club.

 

Article XIII- Dissolution Clause

IN the event of the dissolution of the organization, the total assets shall be liquidated and allotted to organizations of like purpose to be determined by the Executive Board in accordance with governmental regulation. No portion of such funds shall be distributed among individual membes.

STANDING RULES

 DraftThese standing rules are intended to facilitate orderly and decorous transactions within the General Federation of Women's Clubs (GFWC) - Gun Lake Area, Inc. and may be changed at the discretion of the Executive Board by simple majority  vote.

 

1.      All meetings shall include the pledges of allegiance to the United States and Michigan, and  the Collect.

 

2. Club dues, paid by the November meeting for the following calendar year are as follows:

(a)     Membership dues of $25.00

(b)  Associate member dues of $35. Associate members are defined as those members 75 years of age or older who opt NOT to participate in club activities requiring donations/baking/working/etc.

 

 

Executive Board

 (a)     All  elected board members and department chairpersons are expected to attend all board meetings.  If unable to attend, an alternative is encouraged to attend.

(c) All event/program chairpersons are invited to attend

(d) All club members are invited to attend.

 

Duties and Expectations of the Office of the Treasurer

(a)    The Treasurer can pay all budgeted expenses without additional approval of the Executive board

(b)    The Treasurer can pay documented expenses of less than $50 without board approval

(c)    The Treasure can pay documented expenses of greater than $50 only after Executive board approval .

(d)    The Treasure will verify the sunshine fund annually and be a co-signaturer on the check book

 

Newsletter:

Club newsletter will be published not more than 4 times each year at the discretion of the newsletter committee & the Executive Board.

 

Department chairs description of duties

1. contact state chairman and review biennial requirement for reporting, introducing yourself to the state chairman and getting to know their agenda for the upcoming year.

 

2. Make recommendations to the program committee related to programs and fundraisers supporting your department and state department chair agenda for the upcoming year.

 

3. Submit report to Reporting Committee related to money spent and volunteer hours used to meet the program criteria related to your department programs

4. Serve as members of the program committee

 

 Draft Presidential description of duties:

-         support state president’s special projects and international president’s special projects

-         -distribute as necessary information related to the state supported GFWC department programs

-         Appoint department chairpersons as needed

-         Serve as chair of the reporting committee

 

Vice Presidential description of duties:

-         collect information for program book including verifying status of current officers, and department chairpersons and their willingness to continue at their current activity level, if they are interested in taking a different leadership role

-         Serve as chair of program committee

-         Serve as member of the reporting committee
